According to Life & Style magazine, the duo was spotted at a Malibu restaurant discussing wedding details.
A popular South African online publication reported that Theron wants a beach wedding in South Africa while Penn is thinking of Cuba.
The pair are said to have been dating for over five months and are excited about getting married.
Life & Style further reported that Theron wants her mother, Gerda Maritz, to be her maid of honour.
Penn was previously married to superstar Madonna and Robin Wright.
